1. Scope
These following General Terms and Conditions (hereinafter referred to as GTC) apply to all services, orders, offers, and presentations and their respective cooperation companies performed by Office Inspiration GmbH, Timms Hege 19, 22397 Hamburg ("Office Inspiration").
2. Services provided by Office Inspiration
The services provided by Office Inspiration consists in the provision and operation of the online platform https://www.officeinspiration.com/, in particular the presentation of office projects and ideas from the world of work, interior design, architecture, real estate, office products and solutions.
The presentation is based on the content sent by the cooperation company. This content includes, for example, texts, graphics, images, audio and video.
The presentation of the content is free of charge, unless otherwise agreed.
3. Rights of Office Inspiration
Office Inspiration reserves the right to refuse to publish any presentations, including any parts thereof. There is therefore no entitlement of publication. This applies in particular if the contents violate laws or official regulations or the publication would be unreasonable for Office Inspiration due to the content, the origin or the technical form. The publication of content is unacceptable in particular, if it this technically and / or its qualifying is considerably inadequate or may result in putting Office Inspiration in a negative light or significantly impairing the trust of third parties in Office Inspiration.
Office Inspiration is under no obligation to verify the accuracy, completeness and legality of the content.
4. Obligations of the cooperation company
The cooperation company must ensure that the content intended for the presentation is provided fully and in the appropriate format. For this purpose, Office Inspiration provides the cooperation company with the necessary guidelines and other specifications.
5. Display of advertising
Office Inspiration may post / display ads, including third-party ads, on the website https://www.officeinspiration.com/. Office Inspiration may display image and video advertisements in the immediate vicinity of the content submitted by the cooperation company on the Site, without the need for a separate agreement to share advertising revenue. All proceeds from such ads are strictly Office Inspiration.
6. Granting of rights
The cooperation company grants Office Inspiration a simple, non-exclusive, non-transferable, worldwide, unlimited, irrevocable right to use the content provided.
The aforementioned granting of rights also includes the right to store, reproduce, publish, distribute, digitize, as well as process or transform or translate the contents.
In particular, the granting of rights includes the use, storage, duplication, publication, distribution, digitization and editing or transformation of the content on the website https://www.officeinspiration.com, the newsletters of Office Inspiration and the social media accounts of Office inspiration, including Facebook, Twitter, Google+, Instagram, LinkedIn or YouTube.
7. Warranty of right ownership
The cooperation company guarantees that it is possible for it to meet the conditions set out in section VI. and to grant these Rights of Use effectively, in particular, that the cooperation company has all rights to the intellectual property of the content provided or that it has the appropriate license rights of the owner.
The cooperation company also guarantees that the content it transmits is free from third-party rights that could be in conflict with the use of the content on https://www.officeinspiration.com. Furthermore, the cooperation company guarantees that the author will not oppose the publication of unpublished content. The cooperation company further guarantees that the use of the content on the site https://www.officeinspiration.com does not infringe any personal rights of third parties, in particular that persons depicted agree to the use of the content.
8. Exemption
The cooperation company exempts Office Inspiration, its directors, agents, employees, and other employees, from all claims made by third parties, including copyright and personality rights violations, or intellectual property rights violations that are brought against Office Inspiration in connection with the use of the content by Office Inspiration.
If the cooperation company becomes aware of any impairment of the rights of use or contents, the cooperation company shall inform Office Inspiration immediately. Office Inspiration is entitled to take appropriate measures to ward off claims of third parties or to prosecute its rights. The cooperation company has to coordinate own measures to ward off claims or to prosecute rights in advance with Office Inspiration. The cooperation company has to cooperate fully with Office Inspiration as it is necessary to defend a claim.
The exemption also includes reimbursement of the costs incurred by Office Inspiration through legal action / defense.
9. Limitation of Liability / Warranty
Office Inspiration or its legal representatives, executives or simple vicarious agents are liable only for damages that were caused intentionally or grossly negligent by Office Inspiration or its legal representatives, executives or simple agents and other employees, as well as in case of malice and in the case of injury of life, body or health. In all other cases, Office Inspiration shall not be liable for any direct, indirect, incidental or consequential damages, loss of profits, reputational damage or loss of data resulting from or in connection with the use of the website https://www.officeinspiration.com/.
The cooperation company has no claim for damages, in particular in the case of completely or partially illegible, incorrect or incomplete presentation of the transmitted content. Liability shall also be excluded for errors from telephone or telex transmissions of any kind and for the correctness of translations. Even temporary interruptions of the presentation do not entitle to compensation, unless they have been caused by gross negligence or intentionally by Office Inspiration.
10. Changes
Additional agreements, changes or additions to these Terms and Conditions must be made in writing. The contracting parties agree that only these Terms and shall apply. Any terms and conditions of the cooperation company do not apply. Unless otherwise agreed, the GTC also apply to all future orders, offers, deliveries and services of Office Inspiration to one and the same client.
11. . Final Provisions
These terms and conditions are subject to the law of the Federal Republic of Germany. For consumers, this choice of law only applies to the extent that the protection granted is not withdrawn by mandatory provisions of the law of the state in which the consumer has his habitual residence.
The place of performance and exclusive legal venue for any disputes arising from or in connection with the transmission of content by the cooperation partner and the use of the content by Office Inspiration is, to the extent permitted by law, is the registered office where Office Inspiration is situated.
12. Severability clause
Should individual provisions of these Terms and Conditions be or become ineffective or unenforceable, this shall not affect the validity of the remaining provisions. The parties will endeavor to replace the invalid or unenforceable provision with an effective and enforceable provision that will be as close as possible to the invalid or unenforceable provision. The same applies in the event of a gap in the terms and conditions.
